Terms of Service — PlacidPlan
Effective Date: October 20, 2025
Last Updated: October 20, 2026
These Terms of Service (“Terms“) govern your access to and use of PlacidPlan (“PlacidPlan“, “we“, “us“, or “our“), operated by Ascentir Management Consultancies FZCO, a company registered in the United Arab Emirates with its registered office at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates.
By creating an account, starting a free trial, connecting an external application, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using PlacidPlan on behalf of a company, studio, agency, or other legal entity (“Organization“), you represent and warrant that you have the legal authority to bind that Organization to these Terms, in which case “you” and “your” refer to both you individually and that Organization.
1. The Service
PlacidPlan is a unified creative workspace and operating system designed for creators, studios, agencies, and production teams. The Service includes:
- Project Boards and Scheduling: Kanban pipelines, list views, calendars, tasks, due dates, and editing session timers.
- Client Portals and PlacidDrive Storage: Cloud asset management for video cuts, raw footage, LUTs, audio stems, and brand kits, alongside passwordless client review portals with frame-accurate comments, annotations, version comparisons, and sign-off logs.
- Contracts, Invoicing, and Billing Pages: Creator project scopes, e-signature logs, invoice drafts, account settings, and subscription billing pages.
- PlacidAI and MCP Server Integrations: Built-in AI generation and workflow tools (“PlacidAI“) as well as a Model Context Protocol (“MCP“) server endpoint (
https://placidplan.com/mcp) and REST webhooks documented on our Developer Page that allow AI applications you explicitly authorize (such as Claude, ChatGPT, Claude Code, or Cursor) to interact with your workspace.
Previews and Beta Features: Any features, modules, or integrations labeled on our website or within the workspace as “Preview,” “Beta,” “Early Access,” or “Coming Soon” are provided for evaluation purposes only. They are not part of the committed paid Service until they are officially released into general availability, and may be modified or discontinued at any time.
2. Accounts and Workspace Access
- Eligibility and Accurate Information: You must be at least 16 years old (or the minimum age required to form a binding contract in your jurisdiction) to create an account. You agree to provide accurate, current, and complete account and billing information and to keep it up to date.
- Credential Security: You must keep your password, passwordless sign-in links, personal API keys, and MCP OAuth tokens strictly confidential. Do not share your sign-in links or account credentials with unauthorized individuals.
- Responsibility for Workspace Activity: You are solely responsible for all activity occurring under your account and within your workspace—including actions taken by team members you invite, external freelancers or clients accessing your passwordless Client Portal links as free guests, and any connected AI applications acting with the permissions you approved.
- Unauthorized Access Notification: You must notify us promptly through our Contact Page if you suspect or become aware of any unauthorized access to or use of your account, sign-in links, or API/MCP tokens. Across our platform, changing your account email address or password immediately revokes all active MCP tokens and disconnects linked AI apps.
3. Free Trial, Plans, and Payment
- 14-Day Free Trial: We may offer a 14-day free trial for new workspaces. Once the trial period expires, continued access to paid workspace features requires purchasing an active plan.
- Plans and Pricing: Current plan tiers (including Solo, Creator, Studio, and Unlimited Agency plans), storage quotas, monthly PlacidAI credit allowances, prices, currencies, and billing cycles are displayed on our Pricing Page and summarized at checkout before you complete a purchase.
- One-Time vs. Recurring Billing: Whether a plan is billed as a one-time monthly pass (non-auto-renewing) or as a recurring annual subscription is clearly stated with the product at checkout. For recurring subscriptions, your plan will automatically renew for successive billing periods unless you cancel in your account settings prior to the renewal date.
- Payment Processing and Taxes: Payments are processed securely through Stripe. Listed prices exclude applicable value-added tax (VAT), sales tax, goods and services tax (GST), or similar governmental charges unless expressly stated otherwise at checkout. You are responsible for paying all applicable taxes associated with your purchases.
4. Cancellation and Refunds
You may cancel your plan at any time through your account billing page. Cancellation stops future automatic renewals, and your workspace will retain access to paid features through the end of the current paid billing period. For complete details on refund eligibility, trial cancellations, and billing disputes, please refer to our Refund & Cancellation Policy or reach out via our Contact Page.
5. Acceptable Use Policy
You agree to use PlacidPlan responsibly and lawfully. You must not—and must not permit any team member, guest collaborator, or connected AI agent to—use the Service to:
- Violate any applicable local, United Arab Emirates, or international law, regulation, or court order.
- Infringe, misappropriate, or violate the intellectual property, copyright, trademark, privacy, or publicity rights of any third party.
- Generate or send fraudulent, deceptive, phony, or misleading invoices, payment demands, or phishing communications through PlacidPlan email tools or Client Portals.
- Send unsolicited bulk messages, promotional spam, or automated harassment.
- Upload, store, or distribute malware, ransomware, spyware, viruses, trojans, or unlawful, defamatory, or CSAM/abusive media files on PlacidDrive or project boards.
- Probe, scan, penetration-test, reverse-engineer, decompile, or attempt to bypass our authentication mechanisms, OAuth 2.1 / PKCE flows, or security controls.
- Overload, disrupt, or abuse our infrastructure, or circumvent our API and MCP Server rate limits (including the limit of 300 requests per 5 minutes documented on our Developer Page).
- Access, query, modify, or scrape another user’s workspace, tasks, media assets, or invoice drafts without explicit authorization.
6. Your Content and Ownership
- You Keep Ownership: As between you and PlacidPlan, you (and your respective clients or licensors) retain all ownership and intellectual property rights in the content, tasks, project boards, video cuts, raw footage, audio files, brand kits, contracts, invoice drafts, and AI prompts/outputs that you upload, enter, or generate in your workspace (“Your Content“).
- Limited License to Operate the Service: You grant Ascentir Management Consultancies FZCO a worldwide, non-exclusive, royalty-free, limited license to host, store, back up, transcode and stream (for video/media review), copy, transmit, and process Your Content strictly to the extent necessary to provide, secure, and maintain the Service for you and the collaborators, client guests, and external applications you explicitly choose to share it with.
- Permission Management: You control who has access to your workspace, Client Portal links, and connected MCP integrations. We have no liability for how your invited collaborators, clients, or authorized third-party applications use or redistribute Your Content once you share it with them.
- Zero AI Model Training: Neither PlacidPlan nor our underlying AI service providers use Your Content to train, fine-tune, or improve generalized artificial intelligence or machine learning models.
7. Invoice Drafts, Contracts, and Financial Disclaimers
- Issued in Your Own Name: All invoice drafts, project scopes, and contract templates created or stored in PlacidPlan are prepared and sent strictly in your own name (or your Organization’s name). They do not constitute payment requests, tax invoices, or legal representations from Ascentir Management Consultancies FZCO.
- Not a Bank, Escrow Agent, or Legal Advisor: PlacidPlan is a software platform and is not a bank, money services business, escrow agent, fiduciary, tax authority, or law firm. Unless a specific payment or payout integration (such as Stripe) explicitly states otherwise at the time of transaction, PlacidPlan does not collect, hold, custody, or guarantee funds on your behalf.
- Your Compliance Responsibility: You are solely responsible for verifying the accuracy of your invoice amounts, client billing details, tax/VAT calculations, and contract terms, as well as resolving any commercial or payment disputes between you and your clients or contractors.
8. AI Features and Connected MCP Apps
- Accuracy and Human Review of AI Output: Output generated by PlacidAI or by external AI models connected to your workspace is probabilistic in nature and may be incomplete, inaccurate, offensive, or similar to third-party materials. AI output is not professional legal, financial, or tax advice. You must independently review and verify all AI output before relying on it, publishing it, or sending it to clients.
- Connected MCP Applications: When you connect a third-party AI application (such as Claude, ChatGPT, Claude Code, or Cursor) to our MCP server (
https://placidplan.com/mcp), that application acts on your behalf strictly within the permission scopes you approve (workspace:readfor reading workspace overview, tasks, and invoice drafts;workspace:writefor creating, updating, or deleting tasks). - Third-Party Terms and Actions: External AI apps and third-party integrations (such as Google Drive, YouTube, Trello, Asana, ClickUp, or Notion) are independent services governed by their own terms of service and privacy policies. You are solely responsible for any task creations, edits, or permanent deletions (`delete_task`) executed by an AI app that you authorized, and you may disconnect any app at any time from your account settings.
9. Our Intellectual Property
The PlacidPlan platform, software, underlying source code, WordPress/MCP server architecture, visual interfaces, design, documentation, logos, domain names, and brand marks (“PlacidPlan Property“) belong exclusively to Ascentir Management Consultancies FZCO and its licensors, and are protected by international copyright, trademark, and intellectual property laws.
These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during your active trial or subscription term in accordance with these Terms. No ownership rights are conveyed to you. If you choose to submit feedback, bug reports, or feature suggestions regarding PlacidPlan, you grant us an unrestricted, perpetual, royalty-free right to use and incorporate that feedback into our products without any obligation or compensation to you.
10. Availability, Quotas, and Service Changes
- Service Availability: We work diligently to keep PlacidPlan fast, secure, and available 24/7, but we do not guarantee uninterrupted, latency-free, or error-free operation. Access may occasionally be suspended for scheduled maintenance, upstream cloud/network outages, or emergency security updates.
- Storage and Usage Quotas: Your workspace is subject to the PlacidDrive storage capacity, seat limits, and monthly PlacidAI credit limits associated with your active plan tier.
- Changes to Features: We continually evolve PlacidPlan and may add, update, or discontinue features or API/MCP protocol versions over time. If we make a material change that significantly reduces core functionality of an active paid plan during your current billing cycle, we will provide reasonable advance notice via email or in-app announcement.
11. Suspension and Termination
- Termination by You: You may stop using PlacidPlan, revoke connected AI apps, or close your account at any time through your account page or by contacting us.
- Suspension or Termination by Us: We may suspend, restrict, or terminate your account, workspace access, or MCP/API tokens immediately if we reasonably determine that: (a) you have materially breached these Terms (including Section 5 Acceptable Use); (b) your account fees are overdue and remain unpaid after notice; (c) your use of the Service poses a security threat, legal liability, or operational risk to PlacidPlan, our infrastructure, or other users; or (d) we are required to do so by law.
- Effect of Termination: Upon account closure, your right to access the Service ceases, all connected MCP tokens are permanently revoked, and your workspace content is scheduled for deletion in accordance with our Privacy Policy (except where we are required to retain order and billing records for tax compliance). Where lawful and practicable, we will provide a reasonable window prior to closure for you to export your tasks and workspace content unless termination is due to severe security abuse or illegal conduct.
12. Disclaimers, Indemnification, and Limitation of Liability
- “As Is” Warranty Disclaimer: To the maximum extent permitted by applicable law, PlacidPlan and all related features, PlacidAI tools, and MCP integrations are provided “AS IS” and “AS AVAILABLE” without warranties, representations, or conditions of any kind, whether express, implied, or statutory—including any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement.
- Exclusion of Indirect Damages: To the maximum extent permitted by law, in no event shall Ascentir Management Consultancies FZCO, its directors, employees, affiliates, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, client relationships, or data arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages.
- Cap on Total Liability: To the maximum extent permitted by law, our total cumulative liability for all claims arising out of or relating to these Terms or the Service (whether in contract, tort, negligence, strict liability, or otherwise) is limited to the greater of: (a) the total amount you actually paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) USD $50.00 if you have only used a free trial or free features.
- Indemnification: You agree to defend, indemnify, and hold harmless Ascentir Management Consultancies FZCO and its officers and team members from and against any third-party claims, liabilities, damages, and reasonable legal costs arising from Your Content, your invoices or disputes with your clients/freelancers, your connected AI apps, or your breach of these Terms.
- Non-Excludable Rights: Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law (such as liability for fraud, fraudulent misrepresentation, or willful misconduct).
13. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflict-of-law principles.
Before initiating formal legal proceedings, both parties agree to attempt in good faith to resolve any dispute informally by contacting the other party and allowing at least thirty (30) days for resolution. Any dispute that is not resolved informally shall be submitted to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates, unless mandatory consumer protection laws in your country of residence grant you the unwaivable right to bring or defend proceedings in your local courts.
14. Changes to These Terms and Contact Us
We may update these Terms from time to time to reflect new features, technical adjustments, or legal requirements. When we post updates on this page, we will revise the “Last Updated” date at the top. For material changes that adversely affect your rights or obligations, we will provide reasonable advance notice by email or through your workspace dashboard. By continuing to use PlacidPlan after updated Terms take effect, you agree to be bound by the updated Terms.
